Welcome to RMW Lease, operated by RMW Capital Leasing, LLC. These Terms of Service govern your access to and use of our website at www.rmwlease.lol and all computer systems design, integration, capital leasing, and related services we provide. By accessing our website or using our services, you agree to be bound by these terms. If you do not agree, please do not use our website or services. These terms constitute a legally binding agreement.

1. Definitions

RMW Lease refers to the service brand of RMW Capital Leasing, LLC, a limited liability company registered in the State of Utah. Website refers to www.rmwlease.lol and associated subdomains. Services refers to all computer systems design, systems integration, technology capital leasing, and related offerings. Client or You refers to the individual or entity using our services. Content means all materials, text, graphics, and data on our website or delivered through services.

2. Acceptance

By accessing our website or engaging our services, you confirm acceptance of these terms. If using services on behalf of an organization, you represent having authority to bind that organization. We may modify these terms with changes effective upon posting. Continued use after modifications indicates acceptance.

3. Services Description

RMW Lease provides computer systems design and related services within the Professional, Scientific, and Technical Services sector including computer integrated systems design, systems architecture planning, cloud migration and management, technology capital leasing with flexible terms, digital transformation consulting, network design and optimization, cybersecurity risk assessments, and ongoing managed IT support. Specific scope is documented in separate Service Agreements. These terms govern unless a signed agreement expressly supersedes them.

4. Client Obligations

You agree to provide accurate information, cooperate reasonably during service delivery including accessing necessary systems and personnel, designate an authorized point of contact, comply with applicable laws, maintain confidentiality of access credentials, and refrain from using services for unlawful purposes.

5. Intellectual Property

Our proprietary methodologies, tools, and frameworks remain our property. Custom deliverables created specifically for you under a paid engagement are owned by you upon full payment. We retain a license to use general methodologies and know-how gained during engagements.

6. Fees and Payment

Fees are specified in applicable Service Agreements. Leasing terms are documented in separate lease agreements. Service fees are payable within thirty days of invoice. Late payments accrue interest at one and one-half percent per month. Services may be suspended if payment is overdue by sixty days.

7. Confidentiality

Both parties protect confidential information disclosed during the engagement, including business plans, technical data, financial information, and trade secrets. Confidential information is used only for the engagement and disclosed only to personnel with a need to know. Obligations survive termination for three years and indefinitely for trade secrets.

8. Limitation of Liability

To the maximum extent permitted by law, RMW Capital Leasing, LLC is not liable for indirect, incidental, special, consequential, or punitive damages including lost profits or data. Total liability does not exceed amounts paid in the twelve months preceding a claim.

9. Disclaimers

Services are provided on an as is and as available basis. We warrant professional performance consistent with industry standards but disclaim all other warranties. We are not liable for delays beyond reasonable control including acts of God, war, government actions, or third-party failures.

10. Indemnification

You agree to indemnify RMW Capital Leasing, LLC from claims arising from your breach of these terms, misuse of services, or violation of law.

11. Termination

Either party may terminate per the Service Agreement provisions. We may terminate for material breach, violation of law, or fraudulent conduct. Upon termination, fees through the effective date remain payable.

12. Governing Law

These terms are governed by the laws of the State of Utah, without regard to conflict of law principles. The parties submit to exclusive jurisdiction in Salt Lake County, Utah.
